Intent To Terminate

Dear Karl Faehling:

We are in receipt of a request for your termination effective December 23, 2009.

LOPEZ2, DAVIS CAR3 is exercising the termination provision within contract to cancel your contract as well as your authority to represent the Company(s) listed below, subject to the required 30 days written notice. You may qualify for vesting of commissions, subject to the terms and conditions of your contract.

A notification will be submitted to the applicable state regulatory agency informing them accordingly of this action.

Please review the following bullets and proceed accordingly:

- Please promptly return to the Company, all policies, policyholder lists, sales aids, applications, supplies and any other item in your possession that are exclusive property of the Company.

- You will be held accountable for any debit balances incurred by you or any representative contracted by you. If applicable, we will initiate our formal debt recovery process, which includes reporting documented debit balances to Vector.

Be advised this is an Intent to Terminate letter and a confirmation letter will be sent upon completion of this process. If you have any questions, please contact LOPEZ2, DAVIS CAR3. We wish you the best in your future endeavors!
